Welcome to Glendale Payroll Inc. These Terms of Service ("Terms") govern your use of our payroll processing services and website. By engaging our services or using our website, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

1. Services Description

Glendale Payroll Inc. ("Company," "we," "our," or "us") provides payroll processing services for small businesses, including but not limited to:

  • Payroll calculation and processing
  • Direct deposit services
  • Federal and state payroll tax filing
  • Year-end W-2 preparation and distribution
  • New hire reporting
  • California EDD account setup and management
  • Payroll reporting and record-keeping

The specific services provided to you will be outlined in a separate Service Agreement entered into between you and Glendale Payroll Inc.

2. Account Registration

To use our services, you must:

  • Be a legitimate business entity operating legally in California
  • Provide accurate, complete, and current information
  • Maintain the accuracy of your account information
  • Maintain the security and confidentiality of your account credentials
  • Notify us immediately of any unauthorized access or security breach

You are responsible for all activities that occur under your account. We reserve the right to terminate accounts with inaccurate or incomplete information.

3. Client Responsibilities

As our client, you agree to:

  • Submit accurate and complete employee information, including names, addresses, Social Security numbers, and pay rates
  • Submit payroll information by the deadlines specified by us
  • Review and approve payroll calculations before processing
  • Maintain adequate funds in your designated bank account for payroll and tax obligations
  • Provide timely notice of any employee changes, new hires, or terminations
  • Comply with all applicable federal, state, and local employment laws
  • Maintain accurate business records related to employment and payroll
  • Pay all fees associated with our services as agreed

You acknowledge that the accuracy of payroll processing depends on the accuracy of information you provide. We are not responsible for errors resulting from inaccurate or incomplete information provided by you.

4. Fees and Payment

Our current pricing structure is as follows:

  • One-time Setup Fee: $100 (includes EDD registration)
  • Monthly Base Fee: $105 per month
  • Per Employee: $12 per employee per month

Payment terms:

  • Monthly fees are billed in advance on the first day of each month
  • Payments are automatically deducted via ACH from your designated bank account
  • All fees are due upon receipt and are non-refundable
  • Late payments may result in suspension of services after 10 days written notice
  • Returned payments are subject to a $25 fee

We reserve the right to change our pricing with 30 days advance written notice.

5. Confidentiality

We are committed to protecting your confidential information, including:

  • Employee personal information (names, addresses, SSNs, salary information)
  • Business financial information
  • Payroll data and records
  • Business practices and proprietary information

We will not disclose your confidential information to third parties except:

  • As required by law or legal process
  • To government agencies for tax filing purposes
  • To trusted service providers bound by confidentiality agreements
  • With your explicit written consent

6. Limitation of Liability

To the fullest extent permitted by law:

OUR TOTAL LIABILITY arising from or related to our services shall not exceed the total fees paid by you to us in the three (3) months preceding the event giving rise to the claim.

WE SHALL NOT BE LIABLE for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages resulting from your actions, omissions, or inaccurate information
  • Delays caused by factors outside our reasonable control
  • Errors in payroll resulting from incorrect data provided by you

These limitations apply regardless of the theory of liability (contract, tort, or otherwise).

7. Warranties and Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

We disclaim all warranties, express or implied, including but not limited to:

  • Merchantability and fitness for a particular purpose
  • Accuracy, completeness, or reliability of information
  • Uninterrupted or error-free service
  • Correction of all errors or defects

We make reasonable efforts to ensure accurate tax calculations and filings, but we cannot guarantee that government agencies will accept filings without modification or additional requirements.

8. Termination

By You: You may terminate our services at any time with 30 days written notice. No cancellation fees apply.

By Us: We may terminate services immediately if:

  • You fail to pay fees within 10 days of written notice
  • You provide false or misleading information
  • You violate these Terms or applicable laws
  • Your business operations cease
  • We determine, in our sole discretion, that continuation would be detrimental

Effect of Termination:

  • All outstanding fees become immediately due
  • We will provide final payroll reports and year-end documents
  • We will cooperate with your transition to a new payroll provider
  • Confidentiality obligations survive termination
  • Provisions regarding liability and warranties survive termination

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Any disputes arising from or related to these Terms or our services shall be resolved in the state or federal courts located in Los Angeles County, California, and you hereby consent to the personal jurisdiction of such courts.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms on our website
  • Sending email notification to the address on file
  • Providing 30 days advance notice for significant changes

Your continued use of our services after such changes constitutes acceptance of the modified Terms.
